Terms of Service
The legally binding terms governing your use of GreenPT.

These Terms of Service ("Terms") form the legally binding "Principal Agreement" referenced in our Data-Processing Agreement (v 1.0) ("DPA"). By creating an account, requesting an API key, signing an order form, or otherwise using any GreenPT service, you ("Customer" or "you") accept both these Terms and the DPA.
1. Definitions

2. Service description
GreenPT provides AI-powered language-processing capabilities that enable you to generate, transform or analyse text and speech. Specific features and usage limits are described in the documentation or any signed order form.
3. Account registration and credentials
You must (a) provide accurate information, (b) keep credentials confidential and (c) notify us immediately of unauthorised use. You are responsible for all activities under your account.
4. Data protection
Incorporation of DPA
The DPA is hereby incorporated by reference and governs any processing of Personal Data under EU/UK data-protection laws. In the event of conflict, the DPA prevails for data-protection matters.
Data categories
Unless you have executed a written amendment permitting "special-category data" (Art. 9 GDPR), you shall not knowingly submit such data.
Ownership
You retain all rights in your Content; we obtain only the limited licences needed to operate and improve the Services as described in the DPA and these Terms.
5. User obligations
You will not:
- use the Services in violation of law (including export-control and sanctions rules);
- generate or disseminate illegal, harmful or discriminatory content;
- attempt to reverse-engineer or subvert rate limits or technical restrictions;
- interfere with the security or integrity of the Services.
6. Sustainability disclaimer
GreenPT hosts all production workloads on EU data-centres powered by 100% renewable energy. Open-source AI models used within the Service may have been trained on infrastructure outside our control and may not have used green energy.
7. AI model limitations
Outputs may be inaccurate, biased or otherwise unsuitable for your purpose. Do not rely on them as the sole basis for critical decisions (e.g., medical, legal, financial, safety-critical). You assume full responsibility for verifying results.
8. Intellectual property
GreenPT BV and its licensors retain all IP rights in the Services, including software, algorithms and documentation. Except as expressly granted, no licence is implied.
9. Fees and payment
If your access is subject to usage-based or subscription fees, you will pay all invoices within 30 days. Late payments may incur statutory interest plus reasonable collection costs.
10. Service availability and support
We target 99.5% monthly uptime. Planned maintenance will be announced at least 24 hours in advance where practicable. Support is provided via email (mail@greenpt.ai).
11. Confidentiality
Each party must protect the other's non-public information with at least reasonable care and use it only to perform under these Terms.
12. Limitation of liability
Indirect damages
Neither party is liable for indirect, incidental, special or consequential damages.
Cap
Each party's aggregate liability arising out of these Terms is limited to the greater of (i) €10,000 or (ii) fees paid by you to GreenPT in the 12 months preceding the claim.
DPA control
For claims relating to Personal Data or data-protection breaches, the liability regime set out in Section 7 of the DPA applies instead of this Section 12.
Nothing limits liability that cannot legally be limited (e.g., fraud, death or personal injury caused by negligence).
13. Changes to the Services
We may improve or modify the Services at any time. Material changes that reduce core functionality will be announced at least 30 days in advance.
14. Changes to these Terms
We may update non-material sections of these Terms at any time by posting a new version. Material changes to Sections 4 (Data Protection), 12 (Liability) or any pricing terms will take effect 30 days after we notify you by email or in-app message. Continued use after that period constitutes acceptance.
15. Term and termination
These Terms start on the Effective Date and continue until (a) your account is closed or (b) either party gives 30 days' written notice. Sections that by their nature should survive (e.g., 7, 8, 11, 12) will do so.
Upon termination you may export your Content within 30 days; thereafter we will delete or anonymise it as described in the DPA.
16. Governing law and venue
These Terms are governed by Dutch law. The courts of Amsterdam, the Netherlands have exclusive jurisdiction, except where the DPA specifies otherwise for data-protection disputes.
17. Entire agreement
These Terms, the DPA, any signed order form and documents expressly referenced herein constitute the entire agreement between the parties and supersede all prior understandings.
